Terms of Service
Last updated August 2026. These general terms apply unless a signed project agreement says otherwise — in which case that agreement takes precedence.
1. Quotations and scope
Every project is quoted in writing against a defined scope. Quotations are valid for 30 days. The agreed price covers exactly what the scope document lists; anything outside it is quoted separately and only built once you have approved that additional quote in writing.
2. Payment
Projects run on milestone payments, typically an advance of 30–40% to begin, staged payments as milestones are delivered, and the balance before launch. Retainers are billed monthly in advance. All prices are exclusive of GST, which is charged at the applicable rate. Invoices are payable within 7 days unless otherwise agreed.
Work may be paused on any project where a payment is more than 14 days overdue, after notice.
3. Your responsibilities
You agree to provide content, images, brand assets, access credentials and feedback in a reasonable timeframe, and to nominate one person authorised to give final approval. Delays in providing these shift the delivery timeline accordingly, and a project inactive on your side for more than 60 days may be closed with milestones completed to date invoiced.
You confirm that any content, images or data you supply is either owned by you or properly licensed, and you accept responsibility for any third-party claim arising from material you provided.
4. Revisions
Two rounds of revision are included at each stage — design and development — which is comfortably enough where direction is agreed early. Changes of direction after a stage has been signed off are treated as additional scope and quoted before any work is done.
5. Intellectual property
On receipt of final payment, full ownership of all custom code, designs and assets created for your project transfers to you, along with the source code, database and credentials. Third-party components — open source libraries, purchased plugins, fonts and stock imagery — remain under their own licences, which are passed to you.
Unless you ask otherwise, I reserve the right to display the finished work in a portfolio and to describe the work performed. Confidential business information is never disclosed.
6. Warranty and support
Defects — anything that does not do what the scope says it does — are fixed free of charge during the warranty period stated in your project agreement, typically 30 to 180 days depending on project size. The warranty does not cover changes made by you or a third party, hosting or server failures outside my control, or new feature requests.
7. Third-party services
Projects may rely on third-party services such as payment gateways, hosting providers, SMS and WhatsApp providers or government APIs. Their availability, pricing and terms are outside my control, and any fees they charge are yours to pay directly. Where such a service changes in a way that breaks an integration, adapting to it is chargeable work unless covered by a maintenance plan.
8. Limitation of liability
Liability for any claim arising from a project is limited to the total amount you paid for that project. Neither party is liable for indirect or consequential losses, including lost profits or lost data, except where prohibited by law. You are responsible for maintaining your own backups once a project has been handed over, unless a maintenance plan covers it.
9. Cancellation
You may cancel a project at any time. Work completed up to that point is invoiced, any unused advance is refunded, and completed deliverables are handed over. Maintenance plans and retainers may be cancelled with 30 days notice from either side.
10. Governing law
These terms are governed by the laws of India, with jurisdiction in the courts of Udaipur, Rajasthan. Both parties agree to attempt to resolve any dispute through direct discussion before pursuing formal proceedings.
